1. ACCEPTANCE OF TERMS

Welcome to Profplanet. These Terms of Service ("Terms") constitute a legally binding agreement between you ("Student," "you," or "your") and Profplanet ("we," "us," or "our") governing your access to and use of the Profplanet website (profplanet.com) and online learning platform (collectively, the "Platform").

By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Platform.

2. ELIGIBILITY

2.1 Age Requirement

You must be at least 18 years old to create an account and use the Platform. If you are under 18, you may only use the Platform under the supervision of a parent or legal guardian who agrees to be bound by these Terms.

2.2 Authority

By agreeing to these Terms, you represent that you have the legal capacity to enter into a binding contract.

3. ACCOUNT REGISTRATION

3.1 Account Creation

To access our courses, you must create an account by providing accurate, current, and complete information including:

  • Full name
  • Valid email address
  • Secure password
  • Contact information

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach

3.3 Account Termination

We reserve the right to suspend or terminate your account if:

  • You violate these Terms
  • You provide false or misleading information
  • Your account is used for fraudulent or illegal activities
  • Payment obligations are not met

4. PLATFORM SERVICES

4.1 Course Offerings

Profplanet offers structured online courses in:

  • Software Engineering
  • Cyber Security
  • Data Science
  • Additional programs as announced

4.2 Course Structure

Our courses include:

  • Structured daily lessons (Monday-Friday)
  • Weekend challenges
  • Knowledge checks and assessments
  • Cohort-based learning experience
  • Certificate of completion upon successful completion

4.3 Course Duration

Students can choose from multiple duration tracks:

  • 8-month intensive track
  • 9-month track
  • 10-month track
  • 12-month relaxed track

The curriculum content is identical across all tracks; only the daily workload varies.

5. ENROLLMENT AND COHORTS

5.1 Enrollment Process

To enroll in a course:

  • Create an account
  • Select your desired program
  • Choose your preferred duration track
  • Complete payment for Phase 1
  • Receive cohort assignment
  • Access course dashboard

5.2 Cohort Assignment

  • Students are assigned to cohorts based on enrollment date
  • All students in a cohort follow the same curriculum timeline
  • Cohort start dates are displayed on the Platform

5.3 Cohort Changes

If you miss payments and lose access, you will be reassigned to the next available cohort upon payment resumption.

6. FEES AND PAYMENT

6.1 Course Fees

  • Courses are structured into phases
  • Pricing may vary based on program and promotional offers
  • All fees are in Kenyan Shillings unless otherwise stated

6.2 Payment Terms

  • Payment is required before accessing each phase
  • Payment must be made within 7 days of receiving an invoice
  • Accepted payment methods include M-PESA, bank transfer, and other methods specified on the Platform

6.3 Access and Payment

  • Access to course content is granted upon successful payment
  • Missed payments result in suspended access to new lessons
  • Previous lessons remain accessible for review
  • Access is restored upon payment resumption

6.4 Refund Policy

Refunds are provided only in the following circumstances:

  • Technical issues preventing course access (unresolved within 14 days)
  • Course cancellation by Profplanet
  • Refund requests must be submitted within 7 days of payment

Refunds are not provided if:

  • You change your mind after accessing course content
  • You fail to complete the course
  • You violate these Terms

6.5 Price Changes

We reserve the right to modify course pricing. Changes will not affect students already enrolled in a phase but may apply to subsequent phases.

7. COURSE CONTENT AND INTELLECTUAL PROPERTY

7.1 Content Ownership

All course materials, including but not limited to:

  • Video lessons
  • Written content
  • Code examples
  • Exercises and challenges
  • Assessments
  • Graphics and designs

are the exclusive property of Profplanet and are protected by copyright, trademark, and other intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Access and view course content for personal learning
  • Download materials for personal educational use
  • Complete assignments and projects

7.3 Prohibited Uses

You may NOT:

  • Copy, reproduce, or distribute course content
  • Sell, rent, or sublicense course materials
  • Share your account credentials with others
  • Record, screenshot, or redistribute video lessons
  • Use course content for commercial purposes
  • Remove copyright or proprietary notices

7.4 Student Work

  • You retain ownership of original work you create (projects, code, assignments)
  • By submitting work to the Platform, you grant us a license to use it for evaluation, feedback, and platform improvement
  • We may showcase exceptional student work with your permission

8. CODE OF CONDUCT

8.1 Acceptable Use

You agree to:

  • Use the Platform for lawful educational purposes only
  • Treat fellow students, instructors, and staff with respect
  • Provide honest and accurate information
  • Complete your own work and assignments
  • Report any technical issues or violations

8.2 Prohibited Conduct

You may NOT:

  • Harass, threaten, or intimidate other users
  • Post offensive, discriminatory, or inappropriate content
  • Cheat, plagiarize, or submit others' work as your own
  • Share answers to assessments or code challenges
  • Attempt to hack, disrupt, or damage the Platform
  • Use the Platform to spam or promote unrelated products/services
  • Impersonate others or create fake accounts
  • Engage in any illegal activities

8.3 Consequences of Violations

Violations may result in:

  • Warning and required corrective action
  • Temporary suspension of account access
  • Permanent account termination without refund
  • Legal action if warranted

9. CERTIFICATES

9.1 Certificate Eligibility

To earn a Certificate of Completion, you must:

  • Complete all phases of the program
  • Submit all required assignments and code challenges
  • Achieve passing scores on assessments
  • Maintain payment obligations throughout the program

9.2 Certificate Verification

  • Certificates include a unique verification code
  • Certificate authenticity can be verified through our Platform
  • We maintain records of all issued certificates

9.3 Revocation

We reserve the right to revoke certificates if:

  • Fraud or cheating is discovered
  • Work was not original
  • Terms of Service were violated during the program

10. PEER SUPPORT AND COMMUNITY

10.1 Cohort Interaction

  • Students are encouraged to support fellow cohort members
  • Community guidelines must be followed in all interactions
  • We are not responsible for interactions between students

10.2 External Communication

  • Students may form study groups outside the Platform
  • Such groups are not affiliated with or endorsed by Profplanet
  • We are not liable for external communications or arrangements

11. PLATFORM AVAILABILITY AND MODIFICATIONS

11.1 Service Availability

We strive to maintain Platform availability but do not guarantee:

  • Uninterrupted access
  • Error-free operation
  • Freedom from viruses or harmful components

11.2 Maintenance and Downtime

  • Scheduled maintenance will be announced in advance when possible
  • We are not liable for temporary unavailability due to maintenance or technical issues

11.3 Content Modifications

We reserve the right to:

  • Update course content to reflect industry changes
  • Modify curriculum structure
  • Add or remove features
  • Discontinue programs with adequate notice

12. THIRD-PARTY SERVICES

12.1 Integration

The Platform may integrate with third-party services including:

  • Payment processors
  • Email services
  • Analytics tools
  • Communication platforms

12.2 Third-Party Terms

Your use of third-party services is subject to their respective terms and policies. We are not responsible for third-party services.

12.3 External Links

The Platform may contain links to external websites. We do not endorse or assume responsibility for third-party content or services.

13. LIMITATION OF LIABILITY

13.1 Disclaimer of Warranties

THE PLATFORM AND COURSES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Course outcomes or employment results

13.2 No Employment Guarantee

We do not guarantee:

  • Employment after course completion
  • Specific salary outcomes
  • Job placement or interviews
  • Career advancement

13.3 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROFPLANET SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, or consequential damages
  • Loss of profits, data, or opportunities
  • Damages exceeding the amount you paid to Profplanet in the 12 months preceding the claim

13.4 Exceptions

Some jurisdictions do not allow limitation of liability for certain damages. In such cases, our liability is limited to the maximum extent permitted by law.

14. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Profplanet, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your violation of these Terms
  • Your use of the Platform
  • Your violation of any rights of third parties
  • Your conduct on the Platform

15. DISPUTE RESOLUTION

15.1 Governing Law

These Terms are governed by the laws of the Republic of Kenya, without regard to conflict of law principles.

15.2 Informal Resolution

Before filing any formal claim, you agree to contact us at support@profplanet.com to attempt to resolve the dispute informally.

15.3 Arbitration

If informal resolution fails, disputes shall be resolved through binding arbitration in Nairobi, Kenya, in accordance with the Arbitration Act, 2019 (Kenya).

15.4 Class Action Waiver

You agree to resolve disputes individually and waive the right to participate in class action lawsuits.

15.5 Exceptions

Either party may seek injunctive relief in court for intellectual property violations or unauthorized Platform access.

16. PRIVACY

Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data practices.

17. TERMINATION

17.1 Termination by You

You may terminate your account at any time by contacting support@profplanet.com. Termination does not entitle you to refunds for completed phases.

17.2 Termination by Us

We may suspend or terminate your account immediately if:

  • You violate these Terms
  • Your account is inactive for 12 consecutive months
  • We discontinue the Platform (with 30 days' notice)

17.3 Effect of Termination

Upon termination:

  • Your access to the Platform will cease
  • You must stop using all course materials
  • Provisions regarding intellectual property, liability, and dispute resolution survive termination

18. GENERAL PROVISIONS

18.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Profplanet regarding the Platform.

18.2 Modifications

We may modify these Terms at any time. Material changes will be communicated through:

  • Email notification
  • Platform announcement
  • Updated "Last Modified" date

Continued use after changes constitutes acceptance of modified Terms.

18.3 Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.

18.4 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

18.5 Assignment

You may not assign or transfer these Terms. We may assign our rights and obligations without restriction.

18.6 Force Majeure

We are not liable for failure to perform due to circumstances beyond our reasonable control (natural disasters, war, internet failures, etc.).

18.7 Language

These Terms are drafted in English. Any translations are for convenience only; the English version controls in case of conflict.

  • You will comply with all applicable laws and regulations
